1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you and Gorkha Logic, operating the MeroGym product ("MeroGym," "we," "us," or "our"). By accessing or using our website at www.merogym.com, web application, or mobile applications (the "Services"), you agree to these Terms and our Privacy Policy.

If you use the Services on behalf of a gym or business, you represent that you have authority to bind that organization, and "you" includes that organization.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use the Services. The Services are intended for gym businesses and authorized staff, not for children creating their own accounts.

3. Accounts

• You must provide accurate account information and keep it updated.
• You are responsible for safeguarding your login credentials and for all activity under your account.
• Notify us promptly at info@merogym.com if you suspect unauthorized access.
• Account owners are responsible for managing staff permissions and access within their gym organization.

4. Services Description

MeroGym provides gym management tools that may include membership management, billing, attendance tracking, staff and trainer workflows, store or inventory features, analytics, and related support. Features may vary by plan and may change over time as we improve the product.

5. Acceptable Use

You agree not to:

• Use the Services for unlawful, harmful, or fraudulent purposes
• Attempt to gain unauthorized access to systems or other accounts
• Interfere with or disrupt the Services or related infrastructure
• Upload malware, scrape content without permission, or reverse engineer the software except where allowed by law
• Misrepresent your identity or your relationship to a gym or business
• Store or process data you do not have the right to use

6. Customer Data

You retain ownership of the member, staff, billing, and business data you enter into MeroGym ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Services.

You are responsible for the accuracy and legality of Customer Data, including obtaining any consents required from members or staff. Our handling of personal information is described in our Privacy Policy.

7. Subscriptions & Payments

• Paid plans are billed according to the pricing and billing cycle shown at purchase or in your agreement with us.
• Fees are generally non-refundable except where required by law or expressly agreed in writing.
• We may change pricing with reasonable notice. Continued use after the change takes effect means you accept the new pricing.
• Failure to pay may result in suspension or termination of access.

8. Intellectual Property

MeroGym, including its software, design, logos, documentation, and content (excluding Customer Data), is owned by Gorkha Logic or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Services during your subscription. You may not copy, modify, distribute, or create derivative works of the Services except as allowed by these Terms or applicable law.

9. Third-Party Services

The Services may integrate with or link to third-party tools such as payment providers, hosting, analytics, or app stores (including Google Play). Your use of third-party services is subject to their own terms and privacy policies. We are not responsible for third-party services we do not control.

10. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or free of harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, MeroGym and Gorkha Logic will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the fees you paid to us for the Services in the 12 months before the claim.

12. Suspension & Termination

You may stop using the Services at any time. You may also request account deletion through our Delete Account page. We may suspend or terminate access if you breach these Terms, fail to pay fees, or if needed to protect the Services or other users. Upon termination, your right to use the Services ends. Provisions that by nature should survive (including intellectual property, disclaimers, and liability limits) will survive termination.

13. Changes to Terms

We may update these Terms from time to time. We will update the "Last updated" date and, when appropriate, provide notice through the Services or by email. Continued use after changes become effective means you accept the revised Terms.

14. Governing Law

These Terms are governed by the laws of Nepal. Courts in Kathmandu, Nepal will have exclusive jurisdiction over disputes arising from these Terms or the Services, unless applicable law requires otherwise.
